Vendor Terms

These Vendor Terms (“Terms”) apply to all vendors and sellers (“Vendors”, “you”) who list and sell products through the K‑Patented Products Marketplace (the “Marketplace”, “Platform”, “we”, “us”, or “our”).
By registering as a Vendor or listing products on this Marketplace, you agree to these Vendor Terms, as well as our Terms of Use and Privacy Policy.


1. Role of the Marketplace

1.1 Platform only
We operate the Marketplace as an online platform that connects Vendors with buyers. We do not manufacture, own, or take title to your products.

1.2 Separate contracts
When a buyer places an order for your products, a direct sales contract is formed between you and the buyer. We are not a party to that contract, but we provide:

  • The platform and tools for listing and selling
  • Order and payment infrastructure (through third‑party providers)
  • Basic support and dispute coordination when necessary

1.3 Vendor responsibility
You are solely responsible for:

  • The products you list and sell
  • Product quality, safety, and compliance
  • Product information (description, images, pricing, specifications)
  • Shipping, delivery, and after‑sales service

2. Vendor Registration & Eligibility

2.1 Eligibility
To become a Vendor, you must:

  • Be a legally registered business or have the legal capacity to operate as a seller, and
  • Have the authority to agree to these Terms on behalf of your company (if applicable).

2.2 Application and approval
You must submit an application with accurate business information. We may:

  • Request supporting documents (e.g., business registration, patent certificates), and
  • Approve or reject applications at our sole discretion.

2.3 Accurate information
You agree to keep your business profile, contact information, and payment details accurate and up to date. If we cannot reach you using your registered email or phone number, your account may be limited or suspended.


3. Intellectual Property & Product Eligibility

3.1 Patented / IP‑based products
Our Marketplace focuses on products that are protected (or in the process of being protected) by intellectual property rights such as patents, utility models, designs, or trademarks, particularly in Korea.

3.2 You own or control rights
You represent and warrant that:

  • You own or have the right to use and sell the products you list, and
  • Your listings do not infringe any third‑party intellectual property rights.

3.3 Prohibited listings
You may not list:

  • Counterfeit or unauthorized products
  • Products that infringe patents, trademarks, or copyrights
  • Products that violate applicable laws or regulations (e.g., unsafe, banned items)

We may remove or suspend listings at any time if we suspect non‑compliance.


4. Product Listings

4.1 Accurate descriptions
You must provide accurate, complete, and not misleading product information, including:

  • Title and description
  • Clear images
  • Specifications (size, materials, usage)
  • Price, currency, and available quantity

4.2 Pricing & taxes
You are responsible for setting your prices and ensuring they are consistent with any legal requirements. You are also responsible for:

  • Including or disclosing applicable VAT/GST or sales taxes as required by law
  • Complying with tax obligations in your jurisdiction

4.3 Inventory & availability
You must keep your inventory information up to date. If an item is out of stock, you must update your listing promptly to prevent orders you cannot fulfill.


5. Orders, Fulfillment & Shipping

5.1 Order acceptance
When a buyer places an order, you will receive an order notification via the Vendor Dashboard and/or email. You must:

  • Accept or reject the order within a reasonable timeframe
  • Only reject orders for legitimate reasons (e.g., out of stock, shipping restrictions)

5.2 Timely fulfillment
You agree to:

  • Process and ship orders within the handling time specified on your listings, and
  • Provide accurate tracking information (if available) to buyers.

5.3 Shipping responsibilities
You are responsible for:

  • Packaging, shipping, and delivery of products
  • Choosing reliable carriers
  • Complying with customs, export/import laws, and labeling requirements

5.4 Risk of loss
Risk of loss remains with you until the product is delivered to the buyer’s shipping address or as otherwise required by applicable law.


6. Returns, Refunds & Customer Service

6.1 Return & refund policies
You must clearly state your return and refund policy, and it must comply with our Shipping & Return Policy and applicable consumer laws.

6.2 Handling requests
You agree to:

  • Respond to buyer inquiries in a timely and professional manner
  • Process valid return and refund requests promptly
  • Provide clear instructions to buyers about how to return items (if applicable)

6.3 Platform standards
We may set minimum standards for return/refund handling (e.g., DOA, wrong item, damaged item) that all Vendors must follow. Failure to meet these standards may result in account limitations, temporary suspension, or removal from the Marketplace.

6.4 Dispute resolution
If a dispute arises between you and a buyer, you should first attempt to resolve it directly. If unresolved, we may, at our discretion:

  • Review order details and communication
  • Suggest a resolution
  • Take limited actions such as issuing refunds from held funds, suspending listings, or adjusting account status, in accordance with our policies and applicable law.

7. Fees, Payouts & Taxes

7.1 Fees and commissions
We may charge fees for using the Marketplace, including but not limited to:

  • Sales commissions
  • Subscription or listing fees
  • Transaction or payout fees

Details of applicable fees will be provided separately (e.g., Vendor guide, pricing table) and may be updated from time to time.

7.2 Payouts
We or our payment partners will remit payouts to you according to our payout schedule, minus applicable fees, chargebacks, or adjustments.

7.3 Chargebacks and disputes
If a payment is reversed (e.g., chargeback, fraud), we may:

  • Deduct the corresponding amount from your payout
  • Require you to reimburse us
  • Withhold future payouts until the matter is resolved

7.4 Taxes
You are solely responsible for:

  • Determining your tax obligations related to sales on the Marketplace
  • Reporting and remitting any taxes owed (e.g., VAT/GST, income tax)
  • Providing tax documentation if requested

We may, where required by law, collect and remit certain taxes on your behalf or withhold amounts from your payouts.


8. Use of the Vendor Dashboard & Data

8.1 Vendor Dashboard
We provide a Vendor Dashboard for you to manage your listings, orders, and store settings. You agree to use it in accordance with these Terms and any related documentation.

8.2 Data access and use
We may collect and use data on sales, traffic, and performance for:

  • Operating and improving the Marketplace
  • Analytics and reporting
  • Fraud prevention and security

We may share aggregated or anonymized data with third parties, but we will handle personal data in accordance with our Privacy Policy.


9. Prohibited Conduct

As a Vendor, you agree not to:

  • List illegal, dangerous, or infringing products
  • Engage in deceptive pricing or “bait and switch” tactics
  • Manipulate reviews or feedback
  • Circumvent the Platform by directing buyers to transact off‑platform
  • Misuse buyer data (e.g., for unsolicited marketing without consent)
  • Interfere with the security, stability, or operation of the Marketplace

We may investigate and take action, including suspension or termination of your Vendor account, for any suspected violation.


10. Suspension & Termination

10.1 Our rights
We may, at our discretion, suspend or terminate your Vendor account or restrict access to certain features if:

  • You repeatedly violate these Terms or other policies
  • We receive serious or repeated complaints from buyers
  • You engage in fraud, IP infringement, or other illegal activities
  • Required information or documents are not provided

10.2 Effect of termination
Upon termination:

  • Your listings may be removed from the Marketplace
  • Outstanding orders and obligations to buyers remain your responsibility
  • We may withhold payouts as necessary to cover pending disputes, chargebacks, or refunds

11. Limitation of Liability

To the fullest extent permitted by law, our liability to you in connection with your use of the Marketplace as a Vendor is limited. In particular, we are not liable for:

  • Loss of profit, revenue, or business opportunities
  • Indirect, incidental, or consequential damages
  • Losses arising from technical issues, downtime, or changes to our services

Where our liability cannot be excluded, our total liability to you will not exceed the total fees you paid to us during the three (3) months immediately preceding the event giving rise to the claim, to the extent permitted by applicable law.


12. Changes to These Vendor Terms

We may update these Vendor Terms from time to time. The “Last updated” date at the top of this page indicates the most recent changes.
By continuing to use the Marketplace as a Vendor after changes take effect, you agree to the revised Terms.


13. Governing Law & Dispute Resolution

These Vendor Terms are governed by the laws of [Jurisdiction – e.g., Republic of Korea], without regard to conflict of law principles.
Disputes will be handled as described in our Terms of Use.
